3.1 Account Creation

To use the Service, you must:

• Provide accurate, current, and complete information
• Maintain and promptly update your account information
• Be at least 18 years of age
• Have the authority to bind your organization to these Terms

• Maintaining the confidentiality of your account credentials
• All activities that occur under your account
• Notifying us immediately of any unauthorized access

• Authorize Keelo.ai to access your data through secure OAuth connections
• Grant permission to sync and analyze the authorized data
• Represent that you have the authority to grant such access
• Can revoke access at any time through your Integrations dashboard

5.2 Third-Party Terms

You must comply with the terms of service of all connected third-party platforms. Keelo.ai is not responsible for:

• Third-party platform availability or performance
• Changes to third-party APIs or terms
• Data accuracy from third-party sources
• Third-party platform policies or actions

6. User Responsibilities

6.1 Data Accuracy

You are responsible for:

• The accuracy and quality of data in your connected platforms
• Maintaining appropriate backups of your data
• Ensuring data in third-party platforms complies with applicable laws

6.2 Compliance

You must:

• Comply with all applicable privacy and data protection laws (GDPR, CCPA, etc.)
• Obtain necessary consents for data processing
• Ensure you have rights to the data you provide
• Notify affected individuals as required by law

7. Our Responsibilities and Service Level

7.1 Service Availability

We will use commercially reasonable efforts to:

• Maintain 99.9% uptime (excluding scheduled maintenance)
• Provide advance notice of scheduled maintenance
• Respond to support requests within 24 business hours

7.2 Data Protection

We will:

• Implement industry-standard security measures (AES-256 encryption, TLS)
• Protect your data in accordance with our Privacy Policy
• Comply with applicable privacy laws and regulations
• Notify you of any data breaches as required by law

8. Fees and Payment

8.1 Subscription Fees

Fees are based on your selected subscription plan. You agree to:

• Pay all fees according to your selected billing cycle
• Provide valid payment information
• Authorize automatic recurring charges
• Pay any applicable taxes

8.2 Refund Policy

Fees are non-refundable except:

• 14-day money-back guarantee for new customers
• Pro-rated refunds for annual plans canceled within 30 days
• Service unavailability exceeding our SLA commitments

8.3 Price Changes

We may change pricing with 30 days' notice. Existing subscriptions maintain current pricing until renewal.

9. Intellectual Property

9.1 Our IP

Keelo.ai and its licensors own all rights to:

• The Service, software, and platform technology
• Keelo.ai trademarks, logos, and branding
• Documentation and help materials
• Aggregated, anonymized usage data and insights

9.2 Your Data

You retain all rights to your data. You grant us a limited license to:

• Process your data to provide the Service
• Create aggregated, anonymized analytics (not attributable to you)
• Improve the Service using anonymized usage patterns

Important: We do not claim ownership of your data. You can export or delete your data at any time.

10. Warranties and Disclaimers

We warrant that the Service will perform substantially as described in our documentation.

11. Limitation of Liability

OUR TOTAL LIABILITY SHALL NOT EXCEED THE GREATER OF:

• $100, or
• The amount you paid us in the 12 months preceding the claim

12. Indemnification

You agree to indemnify and hold harmless Keelo.ai from any claims arising from:

• Your violation of these Terms
• Your violation of any law or third-party rights
• Your use of the Service or connected data
• Unauthorized access to your account due to your actions

13. Termination

13.1 By You

You may cancel your subscription at any time through your account settings. Cancellation takes effect at the end of your current billing period.

13.2 By Us

We may suspend or terminate your access if you:

• Violate these Terms
• Fail to pay fees when due
• Engage in fraudulent or harmful activities
• Use the Service in a way that harms Keelo.ai or other users

13.3 Effect of Termination

Upon termination:

• Your access to the Service immediately ceases
• You have 30 days to export your data
• We will delete your data after 30 days (subject to legal requirements)
• Fees paid are non-refundable (except as stated in Section 8.2)

14. Changes to Terms

We may modify these Terms at any time. We will:

• Post the updated Terms on our website
• Update the "Last updated" date
• Notify you by email for material changes
• Provide 30 days' notice before material changes take effect

Continued use after changes constitutes acceptance of the new Terms.

15. Dispute Resolution

15.1 Informal Resolution

Before filing a claim, contact us at legal@keelo.ai to resolve the dispute informally.

15.2 Governing Law

These Terms are governed by the laws of the State of Delaware, United States, without regard to conflict of law principles.

15.3 Arbitration

Disputes that cannot be resolved informally will be resolved through binding arbitration in accordance with the American Arbitration Association's Commercial Arbitration Rules.

16. General Provisions

16.1 Entire Agreement

These Terms, together with our Privacy Policy, constitute the entire agreement between you and Keelo.ai.

16.2 Severability

If any provision is found unenforceable, the remaining provisions remain in effect.

16.3 No Waiver

Our failure to enforce any right or provision does not constitute a waiver.

16.4 Assignment

You may not assign these Terms without our consent. We may assign these Terms in connection with a merger, acquisition, or sale of assets.
